In the increasingly fierce business competition,the traditional ways of salary increase,promotion and welfare have been unable to meet the needs of contemporary talents,and the brain drain has become a major problem to be faced in the development of enterprises.As an effective incentive method,equity incentive is widely used.In order to stabilize and improve the talent advantage of enterprises,more and more non-listed companies have begun to follow the experience of listed companies,and actively use equity incentive bonds and bridges to bind senior managers and core talents with the company’s strategic development plan,so as to promote the company’s long-term sustainable development.Since the 18 th National Congress of the Communist Party of China,the State Council,the State-owned Assets Supervision and Administration Commission and other departments have successively issued more than ten relevant administrative measures,notices and guiding documents for the implementation of equity incentives,gradually improving the guidelines and specific implementation rules for the implementation of equity incentives in China’s state-owned enterprises.The implementation of equity incentives can play a positive role in mobilizing the enthusiasm and creativity of employees and improving the value of enterprises.As a state-owned and unlisted technology-based enterprise,YS Company is mainly engaged in engineering survey and design.In the face of the double squeeze of large state-owned enterprises and listed design enterprises with strong capital strength and brand influence,and the low price competition of small design enterprises at the municipal level,only by fully highlighting the talent advantage,especially the subjective initiative and creativity of the company’s management personnel,can it cope with the fierce competition.Equity incentive can solve the problem of the demand for stability and attracting talents of the intelligence intensive enterprises like YS Company,and bind the interests of the management with the long-term objectives of the company to establish a long-term incentive mechanism.This paper takes YS Company as the research object to analyze the motivation of its implementation of equity incentive.Through in-depth investigation and analysis of the company’s industry development prospects,strategic planning,business status,personnel composition,organizational structure,and current incentive mechanism,the company has sorted out the problems of limited incentive system,insufficient incentive effect,and lack of long-term incentive mechanism in talent incentive.After finding out the problem,combined with the data collected from the previous investigation and investigation of the company,and according to the relevant policies,further explore the design of equity incentive mode,shareholding mode,incentive object selection,distribution mode,exit mechanism and other aspects suitable for YS company,and formulate the corresponding safeguard measures,and put forward the equity incentive plan that conforms to the actual situation and future development plan of YS company.By taking YS Company as an example,it is clarified that equity incentive can help such enterprises alleviate the principal-agent contradiction,stabilize and attract the required talents,bind the interests of the company’s management with the company’s objectives,promote the company’s sustainable development,and provide reference for the design of equity incentive schemes for the same type of state-owned non-listed technology enterprises. |
