In the development of national economy,the importance of state-owned enterprises is beyond doubt,but its special double-layer agency relationship and lack of incentive and restraint mechanism hinder its own development.As the mainstream means of long-term incentive for state-owned enterprises,the incentive mechanism of equity incentive has been widely used.However,due to the defects of the governance structure and the problems in the appointment system of senior managers,the design and implementation of equity incentive for management are easy to be controlled by management,which leads to moral hazard and unfair distribution.Equity incentive is the main means to motivate senior managers.Through the implementation of equity incentive,the principal-agent relationship can be well solved,so that the company's principal-agent goals are consistent,and can also promote the long-term development of the company.The effect of equity incentive in state-owned enterprises has become the focus of government and even academia.Firstly,this paper carefully analyzes and summarizes the existing literature related to equity incentive,focusing on summarizing and explaining the relevant theoretical basis.Secondly,taking a state-owned enterprise with mixed ownership reform as the main body,this paper analyzes the problems existing in the existing incentive system,and then draws the motivation why it needs to build equity incentive;thirdly,it designs the equity incentive scheme that should be implemented,and finally puts forward relevant safeguard measures and risk prevention and control suggestions.Through the research,it is found that the implementation of equity incentive in state-owned enterprises has the characteristics of low incentive proportion,single incentive mode,short effective period and centralized equity selection.In the construction of equity incentive,we should combine the internal and external environment of the research object to choose the appropriate incentive mode.Through the analysis,it is found that the equity incentive of state-owned enterprises can achieve a win-win situation between the company and the incentive objects,and reach a community of interests.For the middle and senior managers of an enterprise,it is generally believed that the implementation of equity incentive is subject to various restrictions and has not achieved good results.Due to the lack of experience in the implementation of executive equity incentive in China,which affects the effectiveness of equity incentive,it is of practical significance to study how to implement the scientific and effective construction of executive equity incentive.
