Talent is the foundation of enterprise prosperity,and enterprises that cannot retain people and use people are bound to go badly and not far away.Among the various types of enterprises in China,the problem of retaining and employing people in state-owned enterprises is particularly serious,which is the main crux of the problem restricting their development,and it is urgent to find a way to solve it.At present,the traditional compensation and benefits have been difficult to retain employees,and the employee stock ownership plan can truly retain talents by giving employees the greatest equity of the enterprise,and then help the enterprise to achieve many purposes such as improving employee enthusiasm,improving corporate governance,and helping future financing,so it is very necessary to study the employee stock ownership plan of state-owned enterprises.At present,the academic research on employee stock ownership plans mainly focuses on ex post facto and lacks research on the design of ex-plan,which is the most practical for enterprises,so the research on the design of employee stock ownership plans for state-owned enterprises is of far-reaching significance.This paper takes Shandong Airlines,a typical state-owned enterprise in the face of adversity,as the research object,adopts three methods: literature analysis method,theoretical analysis method and case analysis method,and designs an employee stock ownership plan for it.First of all,through the combing and analysis of domestic and foreign literature,the relevant concepts and research status of the employee stock ownership plan are summarized and summarized,and the four theories of binary economics,human capital,principal-agent theory and signal transmission theory are selected as the basis for the design and research of the employee stock ownership plan of Shandong Airlines.Secondly,Shandong Airlines was briefly introduced from the aspects of basic situation,shareholding structure,personnel structure and organizational structure,and then the necessity and feasibility of implementing the employee stock ownership plan were elaborated,paving the way for the preliminary design below.After that,starting from the practical level,taking the Pilot Opinions as the main legal basis,referring to existing practices and successful cases,on the basis of combining the situation of Shandong Airlines itself,the nine elements of its employee stock ownership plan,model,object,price,source,quantity,conditions,time and mechanism were preliminarily designed.Finally,according to the preliminary design of the nine elements above,the common defects of each element are listed,and for the important common defects,combined with the situation of Shandong Airlines,corresponding avoidance measures are proposed to escort the smooth implementation of the program.In order to provide a decision-making basis for Shandong Airlines to get out of the current predicament and seek to become bigger and stronger again in the future,it is also hoped that it can provide a certain reference basis for other similar enterprises in the design of employee stock ownership plans.
