Taking the positive acquisition of Pirelli industrial tire by Chemchina and the reverse management of Chemchina tire business by Pirelli industrial tire as a case study,the author conducted many deep interviews with people involved in the integration and depicted the situation of the integration and M&A comprehensively,including the acquisition process,the integration strategy as well as performance analysis.At the same time,it also discussed the challenges faced in the process and the adjustment of reintegration strategy in the later stage.By analyzing the main influencing factors and integration methods in the process of cross-border M&A integration,this paper makes a comparative analysis on the business status and financial indicators of the tire sector of Chemchina before and after the integration,so as to provide new strategies and ways for Chinese enterprises to merge and integrate overseas companies and complete the realization of cross-cultural management.Reverse management has been updated and improved in the traditional grafting integration mode.Instead of directly implanting advanced management experience,technology and brand influence,it puts both parties in an equal position and brings their advantageous resources to the table in order to increase the profit margin of the acquirer.After avoiding the negative impact of horizontal competition or brand,the two sides can obtain the maximum synergy and achieve a win-win situation.In the integration process of forward integration and reverse management,the management ideas and cultural differences between China and the West lead to the low operation efficiency in the integration process.It is urgent for both parties to actively carry out business benchmark,develop their strengths and avoid their weaknesses,and jointly tackle key problems.At the same time,we also need to strengthen cross-cultural exchanges and training to ensure the efficient and coordinated operation of M&A.This paper has the following positive influence on the research of integrated M&A.First,taking the reverse management as a case,it analyzed the management mode in the post M&A.Based on the cross-border M&A of enterprises in emerging economies,it further enriched the relevant theories of reverse management,and effectively improved the performance of Chinese enterprises in cross-border M&A.Secondly,it provided a winwin model that can be used as a reference for enterprises in the process of integration after M&A.It is significant for Chinese subsequent cross-border M&A,and provided a new idea of integration with strengths and without weaknesses.
