Risk Identification And Evaluation Of Cross-border Merger And Acquision Loans Of Commercial Banks

In recent years,the number and scale of cross-border M & A transactions of Chinese enterprises have been increasing.As the most important financing channel,the demand of cross-border M & A loans has also increased correspondingly.The risk of cross-border M & A loan is different from the general loan,which includes the risk of M & A project itself,the risk of loan itself,and the risk of domestic risk and foreign risk.Additionally,cross-border mergers and acquisitions are mostly large transactions involving huge sums of money,and commercial banks are often faced with extremely high risks when carrying out such operations.How to establish a suitable model to effectively identify and evaluate the risk is of great significance to the bank.The semiconductor industry has become a national strategy,and there is still a serious imbalance between supply and demand,which poses a threat to national strategic security.Under the guidance of the "13th Five-Year Plan",semiconductor enterprises set off a wave of cross-border M & A to solve the problem of long-term supply shortage.The research object of this paper is the risk of cross-border M & A loan.Firstly,it introduces the essence,main characteristics and risk factors of cross-border M & A loan.Among them,risk factors are classified into credit risk and specific risk,and eight specific risk factors are introduced in detail.Secondly,risk evaluation model is established to evaluate the risk comprehensively.In order to verify the applicability of the model,this paper quantitatively evaluates the feasibility of this loan by taking h bank as an example to analyze the risk management of h bank's related businesses,and put forward the corresponding measures and suggestions for other banks to carry out similar business decision-making reference.
