A Multi-case Study On Financial Risk Management And Control From The Perspective Of Major Shareholder Interest Encroachment

The majority shareholders of listed companies encroach on the property of investors is a main reason for the health of capital market in the development of listed companies.In recent years,the behavior of usurpation of the interests of the major shareholders has the characteristics of diversification and complexity,which has a very high concealment in the process of encroachment.The cases of capital occupation of individual major shareholders even affect the normal information disclosure of listed companies.The illegal occupation of funds by major shareholders not only infringes the rights and interests of small and medium shareholders,but also increases the financial risks of listed companies.Therefore,how to take effective measures to eliminate the problem of usurping the interests of the major shareholders of listed companies,to safeguard the rights and interests of the company and small and medium-sized investors,and to control financial risks is a difficult problem to be solved urgently.This paper takes the cases of interest encroachment of Tianma and Weiwei as the research object,and summarizes the behavior of shareholders' interests encroachment by using literature research method and case analysis method based on the principal-agent theory and information asymmetry theory.Firstly,the paper talks about research significance,and adds the relevant research literature and related concepts of domestic and foreign scholars.Secondly,the basic operation of the case company is introduced,and the encroachment process is sorted out in time order.Then,the paper analyzes the financial impact of the usurpation of the interests of the major shareholders,and further analyzes the causes of the financial risks.Finally,the paper puts forward some suggestions for financial risk control.
