| At present,the global and china economy are all in the stage of continuous transformation and upgrading,the competition between enterprises is furious,“Mergers and Acquisitions” become the magic key.So,how to evaluate the “M&A” performance become more and more important.However,the traditional “M&A” evaluation has some unsatisfactory aspects.At the same time,due to the different nature and industry characteristics of various industries,the focus of post-merger evaluation is also different.Therefore,the evaluation method of “M&A” performance should also be adapted to the preferences and focus of different types of companies.It can not only evaluate the effect and application of the results after the merger,but also guide the integration of various levels after the merger,in order to maximize the positive synergy of mergers and acquisitions.This article has 5 chapters,chapter 1 is introduction,to extend sense based on the domestic and foreign economic environment and to elaborate research method.Chapter 2is the theoretical basis,which explains the types of mergers,motivations,and performance of mergers and acquisitions.At the same time,it compares and analyzes the advantages and disadvantages of traditional performance evaluation methods and balanced scorecards.Finally,build the four-dimensional balance theory framework of the balanced scorecard.Chapter 3 is the construction of the “M&A” performance system based on the balanced scorecard,making up the judgement matrix by using analytic hierarchy,building the evaluate performance by refining 4 performance indicators--finance,internal process,client and growth.Chapter 4 is the major chapter,introducing “Balanced Score Card” into the research of electronics manufacturing“M&A” performance,take the merge and acquisition project between Fei Rong Da and Bo Wei as example,then calculating the data by fuzzy evaluation,finally draw the evaluating conclusion and propose the solution based on data.Chapter 5 is the conclusion and prospect.Evaluating and suggesting based on problem and solutions,to helpful to the research of domestic “M&A”,applying the Balanced Score Card to evaluating performance.Conclusion: A.the Balanced Score Card adopted in this article can intuitively evaluate the performance of Fei Rong Da and Bo Wei mergers and acquisitions project.B.the use of Analytic Hierarchy Process and fuzzy evaluation method can determine the weight of indicators of different dimensions,then enhance the results.C.After mergers and acquisitions project,the overall performance improved definitely,the evaluation result is “excellent”,achieving the expected goals. |
