The Optimization Strategy Of Corporate Government For A Education Henan Group

Founded in 2000, A Education Group is the first private education group in Henan Province, mainly engaged in education training and full-time teaching. At present, A Education Group has hundreds of teachers and other employees and more than 50 training schools. It can serve more than 100,000 primary and middle school students each year and currently has more than one thousand full-time students. Family based governance mode is adopted for the Group, so there are some disadvantages, such as unreasonable shareholding structure, imperfect incentive and constraint mechanism for the manager, which resulted in the dissatisfaction and resignation of main backbone teachers; even once an executive general manager of A Education Group led the core team to start a new company. How to optimize the governance structure and mechanism is an urgent problem to be solved for A Education Group.On the basis of a large amount of literature materials collected, this paper will systematically make a research on A Education Group's governance optimization strategy pursuant to the theory of company governance. Firstly, this paper will analyze the Group's governance problems based on the development status of A Education Group. Secondly, the internal governance structure of A Education Group will be optimized. Lastly, the management optimization strategy of A Education Group will be put forward, which includes the salary structure design, the establishment of the equity incentive, employee promotion and development channel and improvement of labor contract and corporate governance mechanism.The characteristics and innovations of this paper mainly include:(1) To provide the optimization scheme of A Education Group's shareholding structure through the overall design of management structure of A Education Group; (2) To perfect the articles of corporation of A Education Group, the governance of board of directors, board of supervisors and manager arrangement, and optimize the internal governance structure of A Education Group; (3) To improve the corporate governance mechanism and provide the governance optimization strategy of A Education Group.This paper is not only to develop a set of operational governance structure optimization scheme and implementation strategy for A Education Group to break the development bottleneck of A Education Group, but also to provide the theoretical basis and reference for group's governance of similar education enterprises.
