The Commercial registration system can be traced back to ancient Rome.With the development and expansion of the merchant class in the Middle ages,the commercial registration system started a new round of recovery along the Mediterranean coast.In modern times,along with the rapid development of capitalism,the commercial registration system has been widely valued for its irreplaceable role,and the credibility of commercial registration is the soul of the system,which can protect the legitimate rights and interests of the third party acting in good faith from infringement.Commercial registration is defined differently in different countries.Commercial registration system is an important part of commercial activities,with the purpose of qualification confirmation,establishment,alteration and termination of commercial subjects.Under the background that China continues to reform and opening up to the outside world in a wider field and deeper direction,the consummation of the commercial registration system is the utmost important to protect the foreign investment and the healthy development of private economy.However,China’s commercial registration system has left a strong trace of Planned Economy,which mainly reflected in the paid-in system of registered capital,substantive examination,low effectiveness of public registration and other aspects,which artificially increase the threshold for market participants to enter,and lead to the difficulty in effectively guaranteeing the credibility of commercial registration.In 2013,China began to reform the commercial registration system,focusing on the subscription system of registered capital,abolishing the capital verification link,and replacing the annual inspection system with the annual inspection system.Which is a great move to improve the efficiency of commercial registration and simplifying registration procedures.However,compared with developed countries,China still has a long way to go in protecting the credibility of commercial subject registration information.The first chapter focuses on the concept of commercial registration system and its credibility,trying to clarify the development context and theoretical disputes;The second chapter mainly discusses the background and measures of the reform of the commercial registration system in 2013,as well as the shortcomings of the protection of credibility after the reform.Chapter three finds out the effective measures of other countries to guarantee the credibility of registration information through the comparative study.The fourth chapter draws lessons from the foreign successful experience to perfect our country commercial registration credibility protection.This paper is intended to provide a modest contribution to the further reform of China’s commercial registration system. |
