The mutual Benefit Corporation is a special form of corporate organization between the company’s pursuit of commercial interests and corporate social responsibility,and its organization’s mission objectives cover the public welfare purpose,the operation process self-disclosure of public welfare report,and can draw whether profit-making ability or social influence is the core of the mission purpose,values and behavior practice of the company.Lucid waters and lush mountains are invaluable assets,the company as a kind of business-to-good practice,can give our company innovation and undertake social mission to bring new vitality.Similarly,the company’s laws clear,can prevent some companies to play the slogan of public welfare,but do the real thing.This paper is divided into four parts,the first part describes the connotation of the mutual benefit corporation analysis,analysis of the origin and characteristics of the mutual benefit corporation.Then it expounds the current situation of the development of the mutual benefit corporation and its characteristics of business goodness.The second part is the analysis of the legislation of foreign mutual benefit companies,mainly for Europe,Britain,Britain,Japan and South Korea and other countries and regions of the development of the common benefit companies to discuss,and then analyze the content scanted for Our country."The third part is to analyze the necessity and feasibility of setting up a mutual benefit corporation,and to explore from the institutional value and legislation that a chapter can be set up in the company law to regulate the mutual benefit corporation.The fourth part is the basic idea of designing the four aspects of the legislative concept of china’s common benefit corporation,from the four aspects of the faithful diligence obligation of directors,the interests of stakeholders,the disclosure of public welfare reports and its mechanism and third-party certification standards.
