At present,the domestic capital market is in a period of profound change.With the continuous improvement of China’s capital market and the constant changes of the company and the industry,mergers and acquisitions occur more and more frequently,which has become one of the crucial propositions for enterprises to carry out strategic deployment.However,the causes,ways,paths,results,and integration of M&A vary as the design of the M&A project is rather complicated that involves multiple interests.Therefore,a case of merger and reorganization is analyzed,the characteristics of the case and the experience of capital market,listed companies,target companies and investors in the process of merger and reorganization is summarized in the paper.The background of M&A of Company Z is presented at the first part of the paper,after that,the process and results of the transaction is stated from the beginning of the motivation.Then it discusses the status of the listed company’s economic consequences after the acquisition of Company Xand points out the positive impact of M&A on the long-term interests of the listed company.In the analysis of economic consequences,the financial achievement analysis method and the economic benefit analysis method are adopted.Based on the quantitative analysis,the business regulation and development strategy before and after the merger are discussed.Finally,the successful completion of M&A and reorganizations of Company Z will be refined and summarized to make reasonable suggestions to listed companies on M&A related matters.As a conclusion,Company Z’s financial performance and economic effects have been evidently improved after the M&A of X company.The detailed adjustment,the design of the project,and the synergetic integration before,in,and after the merger all play a vital role.In the process of M&A,especially the M&A of listed companies,it is required to thoroughly researched and laid out at various stages comprehensively from multiple perspectives and with high requirements.Only when each link is organically coordinated to produce a coupling effect of forces can it become targeted to better create wealth for the company’s shareholders and investors.
