| At present,the reform of mixed ownership of state-owned enterprises is speeding up,gradually transforming from document to landing reform measures,from pilot exploration to overall promotion,which has become an important direction of reform of state-owned enterprises.Analyzing the economic consequences of mixed ownership reform for enterprises and clarifying its internal mechanism will help to promote the reform smoothly.This paper uses the theory of property rights,super-property rights,principal-agent and stakeholder,uses case study method,selects Zoomlion,the typical enterprises,to examine the impact of mixed ownership reform on enterprises from three aspects: corporate governance,company operation and company performance,and summarize its mechanism.The analysis found that Zoomlion achieved diversification of property rights by introducing financial investors,strategic investors,management shareholdings,and international capital.The reshaping of the property rights structure has promoted the transformation of corporate governance structure and governance mechanism,laying a foundation for the good operation of the company.Ultimately,through the reform of mixed ownership,Zoomlion has realized the improvement of company performance and the obvious enhancement of enterprise competitiveness.Finally,this paper puts forward some suggestions on the key points that should be paid attention to when introducing nonstate-owned shareholders,from constructing appropriate stock-to-equity relationship,ensuring discourse power,attaching importance to governance effect,and establishing incentive and restraint mechanism.This study has certain practical guiding significance,which can provide experience for stateowned enterprises to optimize corporate governance through mixed ownership reform,integrate with market economic system,participate in international competition and grow into world-class enterprises.At the same time,the proposals also provide policy reference for the current mixed reform of state-owned enterprises,which is conducive to the further development of the reform. |
