Nowadays,with the increasingly rapid development of global market economy,more and more enterprises begin to use merger and acquisition as a way to expand the scale of enterprises,so as to improve financial performance and achieve corporate goals.China's state-owned enterprises have joined the m&a trend due to the above reasons.In addition,the national policies are also promoting the reform of state-owned enterprises,such as the implementation of strategies such as" One Belt And One Road".In order to keep warm,mutual benefit and win-win situation among state-owned enterprises,many cross-border m&a cases have been generated.M&a brings opportunities to enterprises,but it also brings some challenges.In recent years,merger and acquisition failures have constantly emerged,which has led to our attention.However,the success of m&a is marked by the realization of synergistic effect of m&a.Therefore,it is of great significance to further study these issues to improve the success rate of m&a.Firstly,this paper expounds the research background,research methods and research significance of the merger and acquisition of CSR and CNR,and briefly reviews the research hot spots on the synergistic effect of the merger and acquisition of domestic and foreign enterprises.Secondly,it introduces the causes of m&a,payment methods of m&a,and the classification of m&a synergies and other basic theories,providing theoretical basis for the evaluation and analysis of the latter.Thirdly,make a basic introduction to the case of the mergers and acquisitions of CSR and CNR,select appropriate indicators to build a financial indicator evaluation system,and analyze the acquisition of synergies from mergers and acquisitions in terms of financial coordination,management synergy and operational synergy,and judge the merger and acquisition synergy.The acquisition of the effect,so as to identify the cause and propose solutions.This paper adopts the accounting research method for analysis,and selects the financial data of the two years before and three years after the merger for longitudinal comparison analysis,and compares the financial data of China railway and rail transit equipment manufacturing industry with the average level of China railway and rail transit industry.After the comparison of individual financial indicators,the financial indicators are analyzed comprehensively and the conclusions are drawn.Finally,based on the evaluation conclusion,the reasons for the lack of obvious synergies in the merger of CSR and CNR were analyzed,and specific suggestions were put forward to improve the deficiencies of this company,and provide a reference for the post-merger integration of CSR and CNR.
