Since the 1960 s,along with the accelerated process of global economic integration,financial institutions led by commercial banks have also been developing rapidly,leading to more intense competition among the global financial industry,and banks in order to occupy more market share,to ensure that their current market in the market is not surpassed,All hope that by expanding their own scale,to form a scale effect,reduce costs,improve bank efficiency.As banks enter the internationalization process,most banks go global through cross-border mergers and acquisitions.Taking the acquisition of Turkish bank by ICBC as an example,this paper analyzes the opportunities and challenges of cross-border mergers;A of Chinese commercial banks from mergers;a background merger a process;a performance,mainly using the method of literature research and qualitative quantification to analyze the cases,and finally concludes that ICBC's M& amp,and gives relevant enlightenment and suggestions,hoping to provide reference for other commercial banks to prepare for overseas mergers.The research content of this paper is divided into the following five parts:The first chapter is the introduction.The introduction is divided into three parts,the first part explains the background and significance of this article.The second part is the introduction of the research content,ideas and methods of this paper,as well as the innovation points and shortcomings of this paper.The third part summarizes the literature review at home and abroad.The second chapter is the related concept and theoretical basis.This part first defines the related concepts of mergers?overseas mergers,and then gives the relevant theoretical basis,which lays a foundation for case analysis in the later text.The third chapter is the motive and process of ICBC's acquisition of Tekstilbank.Mainly includes the introduction of mergers;a motivation and integration process,the general situation of mergers..The fourth chapter is the performance analysis of ICBC's transnational mergers andacquisitions.The financial performance after merger;A is analyzed mainly from the short,long term and comprehensive three dimensions respectively.First of all,the short-term performance analysis uses the event research method to analyze the impact of mergers on the change of the stock price of ICBC.Secondly,through Du Pont analysis to analyze the long-term impact of mergers events on mergers and acquisitions,by comparing the return on net assets before and after merger to reflect the impact of merger events on their performance;Then adopt "camel rating law" to carry on the comprehensive evaluation to its finance,can reflect the overall operation of the bank more comprehensively;Finally,from the strategic point of view,this paper describes the strategic significance brought by ICBC after merger of Tekstilbank,so as to reflect the effect of merger.The fifth chapter is the conclusion and prospect.This part first makes a simple summary of this case,and then summarizes some experience enlightenment in the process of bank overseas mergers;hoping to bring reference significance to other commercial banks.The case study of this paper shows that after the cross-border merger;ICBC not only improved its financial performance,but also realized the expected effect,the strategic significance is outstanding,so it explains the motivation of its cross-border merger;the choice of the object,the timing,the integration of resources are doing well,is a successful case,worthy of other commercial banks to learn from.
