Research On Financial Management Of M A Risk In Gaming Industry

In recent years,with the popularization of smart phones and tablets,the mobile game business has developed strongly,and the good development prospects have made it a field of M&A that traditional culture enterprises are keen on.However,high profits are often accompanied by high risks,and cases with unsatisfactory M&A results occur from time to time,which deserves attention and reflection.In modern enterprise management,financial risk management and control is an important part of the whole M&A activity.Throughout the M&A process of the whole enterprise,it determines the financial status and risk management effectiveness of the enterprise,and the integration after merger and acquisition,especially financial integration.It is very important.Therefore,combined with the characteristics of M&A in mobile games,it is of theoretical and practical significance to manage the financial risks in the process of mergers and acquisitions.In order to achieve this research goal,this paper begins with the introduction of relevant theories,systematically sorts out the definition,types and management processes of financial risks,and lays a solid foundation for the research of specific cases.Combined with the characteristics of the game industry,the financial risk management structure of M&A was constructed.The process starts with the three aspects of M&A financial risk identification,financial risk assessment and financial risk control activities,and comprehensively manages the financial risks of M&A in the game industry based on the characteristics of the game industry.In the process of building the structure,this paper starts from the point of time when the financial risk of M&A appears,and combs the whole structure of the financial risk management of M&A in the game industry.This paper selects the typical case of Tianzhou Culture's acquisition of Youai Network.According to the constructed financial risk management structure of M&A,it analyzes the financial risk management and control of Tianzhou Culture from the three stages before,during and after the merger,and summarizes the experience and deficiencies.In response to the shortcomings in the process of management and control,relevant financial risk management recommendations are given: accurately grasp the M&A strategy,carefully select the evaluation agency,pay attention to theassessment of M&A financial risks,fully consider the company's financial status,and avoid exaggerating synergies,which is also the case of many companies.Notable aspects of the gaming industry's M&A activity.Finally,this paper combines theory and case to get the following enlightenment: M&A financial risk is distributed in all aspects,and management needs to fully understand the characteristics of financial risk,in order to effectively identify financial analysis,and then adopt effective means to systematically control.Due to the limitations of research time and research capacity,this paper does not deeply study the full coverage of M&A risk management,and analyzes the size of M&A risks from a quantitative perspective.These are further research and improvement.
