Research On The Optimization Of Competitive Central Enterprise Governance Structure And Governance Mechanism

The promulgation of the "Guiding Opinions on Deepening the Classification Reform of State-Owned Enterprises" in 2015 clarified the direction for the central enterprises to deepen the classification reform,and defined the classification of central enterprises,including competition,monopoly and public welfare.The classification governance structure and classification governance mechanism play a decisive role in the corporate governance of central enterprises.Assisting central enterprises in establishing standardized and effective mechanisms and institutional systems is also a core issue to be urgently needed to promote the reform of central enterprise classification.As the backbone of the central enterprises,competitive central enterprises need to make continuous explorations on how to improve the existing problems of competitive central enterprise corporate governance.This paper sorts out the relevant research results of the governance structure and governance mechanism of central enterprises at home and abroad,and takes the principal-agent theory,property rights theory,stakeholder theory,incentive and constraint theory as the theoretical basis of this paper,and organizes the documents promulgated by the state,summarizing the process of central enterprise classification reform and classification governance.This paper takes competitive central enterprises as the research object,describes the status quo of competitive central enterprises,and distinguishes them from the central enterprises with monopolistic and public welfare attributes,and analyzes the problems of competitive central enterprises in corporate governance.The determination of the central enterprise classification reform in 2015 prompted the China Resources Limited Company to adopt the central spirit as the guiding principle and adapt to the changes in the market,and implemented reforms on the corporate governance level including organizational construction and mechanism construction.The reform work has achieved certain results.This paper analyzes China Resources Group from the perspective of the organic coordination of governance structure and governance mechanism,which is,the establishment of governance structure is only the foundation of corporate governance,and it can only be effective if it is effectively coordinated.Based on this,summarizing the experience of ChinaResources Group in corporate governance,and based on the experience of China Resources Group,it puts forward corresponding suggestions for improving the corporate governance of competitive central enterprises.As a large-scale competitive central enterprise,China Resources Group constantly improves its governance structure and forms a more effective governance mechanism,which not only enhances the Group's own competitiveness,but also contributes to the preservation and appreciation of state-owned assets.This paper,through the China Resources Group in the context of the classification reform of central enterprises,to improve the empirical evidence of its corporate governance,for the current problems of competitive central corporate governance,has important reference value for optimizing its governance structure and governance mechanism.
