Enterprise growth has positive social significance,it can promote economic growth and increase employment."It is a common phenomenon in the world economic development that enterprises grow and grow through M&A." it is usually referred to as strategic M&A.Strategic M&A is a form of relative financial M&A.It usually refers to the sponsors M&A on the basis of their own strategic intent,the needs of the development of industry,combined with their own resources endowment,in the form of combination or complementary advantages to merge with a comparative advantage by mergers and acquisitions,so as to optimize allocation of resources and produce synergies,eventually M&A behavior of M&A party its own core competitiveness.This paper mainly adopts the case study method to study the strategic merger and acquisition case of TL co.,LTD.(hereinafter referred to as "TL company").Firstly,this paper introduces the research background and significance,and clarifies the concept,motivation,integration and effect evaluation method of strategic M&A.Secondly,the connotation,process,payment method and analysis framework of strategic M&A are defined.Then,combined with the analysis framework,this paper describes the TL strategic merger and acquisition case,and finally analyzes the target of the strategic merger and acquisition,and evaluates the realization of the target from two aspects of financial indicators and non-financial indicators.According to the research findings,since the establishment of TL company in 2013,great achievements have been made in strategic mergers and acquisitions.The core competence of TL company,including resource utilization ability,management integration ability and scientific and technological innovation ability,has been greatly improved.The operating income and net profit of TL company also increased significantly in 2014,2015,2016,2017 and 2018.The main reason for the success of TL strategic merger and acquisition lies in the comprehensive analysis of merger and acquisition background and the rational formulation of strategy.Flexible execution of M&A strategy and effective integration of acquired company and supply chain.The successful strategic experience of TL company can provide reference and reference for other enterprises in strategic M&A.
