Case Study Of H Group's Merger And Acquisition Of D Company's Financial Risk

With the rapid development of the world economy,merger activities have evolved into global economic activities,but the results are far below the expected value before merger,and even fail.Therefore,enterprises should pay special attention to the control and prevention of risks,especially in the process of merger.In this paper,the financial risk of H Group merger D Company is analyzed in detail,and the partial analysis of financial risk is made according to the process of merger.First of all,it is clear which financial risks exist in the merger process.Then,according to the financial data of both sides of the merger and acquisition,the identification and evaluation are carried out,and finally the enterprise merger and acquisition is obtained.Experience,summed up a certain amount of inspiration has been provided to other enterprises for mergers and acquisitions.This paper mainly identifies and evaluates the financial risk in the risk types of merger activities,which enriches the management theory of merger project risk from the perspective of research.The whole structure of this paper can be divided into five chapters.The main research ideas and contents of each chapter are as follows:s first,this paper expounds the main background and significance of the financial risk identification and evaluation of H Group merger D Company.This paper cites and combs the risk theory knowledge and practice research related to merger at home and abroad,further determines the main contents and methods adopted in this paper,and analyzes the innovation of this study as a whole.Secondly,the related theories adopted in this paper are systematically expounded,mainly from three aspects:the concept of merger,the concept of merger financial risk and the cause of formation of merger financial risk.Introduction Thirdly,the main body of merger case is introduced,and the background,motivation,process and result of merger are further analyzed.This paper uses various financial data to identify the financial risks in the merger process of H Group,and then evaluates the financial risks in the merger process by using the Z value model.Finally,this paper summarizes the case study of H group merger D company financial risk,and draws the enlightenment to other enterprises.
