With the rapid development of China economy,more and more companies visit the capital market,the separation of ownership and management,so more and more companies employ occupation managers,and the implementation of equity incentive,in order to reduce the agency cost,at the same time,but also through the constraint and incentive mechanism to guide and restrict managers' behavior.This paper describes the related theories of equity incentive,and choose fuanna equity incentive case,study the equity incentive plan,and compare the implementation of equity incentive and financial indicators,and through the analysis of organizational behavior occupation managers,to explore the causes of short-term behavior,research on equity incentive for occupation managers to explore the equity incentive effect,to overcome the influence of short-term incentive behavior of mana.According to the specific operation plan and its implementation on the equity settlement of equity incentive,the occupation to overcome the short-term behavior of managers,and the possible problems and shortcomings,and provide reference for our country to implement equity incentive enterprises to combine their points for effective incentive scheme,is helpful to improve equity incentive mechanism in china.This paper first introduces the research background and research significance of the paper,then summarizes the domestic and foreign literature about equity incentive in listed companies,and finally,it briefly describes the contents and research methods.Then the main occupation launched equity incentive effect on the short-term behavior of managers,first introduced the main stakeholders involved in equity based incentives,and then describes the utility goals of stakeholders,the definition of occupation the short-term behavior of managers,game analysis and then develop occupation equity incentive effect on the short-term behavior of managers,and then continue to discuss the equity incentive effect on the occupation the short-term behavior of managers,finally from how to strengthen the positive effect and explore the mechanism of the design of equity incentive scheme to overcome the negative effects of two aspects.The third part mainly introduces incentive of equity fuanna objective case,mainly from the basic situation of equity incentive and implement several aspects,which include the basic situation of the implementation of equity incentive fuanna,motivation,form fuanna occupation the short-term behavior of managers,and the specific content of the program.Then analyzes fuanna equity incentive case.First introduces its main benefit and utility goal,then the game and its effect on fuanna stakeholders analysis,pointed out the situation and reasons of influence on the occupation managers,evaluation fuanna equity incentive plan,and then points out the existing problems and reasons of the equity incentive fuanna.Then introduced the perfect fuanna equity incentive countermeasures and suggestions.Mainly from the formulation of scientific equity incentive scheme,the improvement of internal governance in the company,and the improvement of the post management of equity incentive in three aspects.
