The employee stock ownership system is a kind of equity incentive and restraint system,which is based on the employee holding the shares of the enterprise,participating in the enterprise management decision and sharing the enterprise income.Since the introduction into China in 1980,the employee stock ownership system has been adjusted several times and the process is tortuous.Chinese state-owned employee stock ownership system carried out extensive practice in the process,made due contribution to the exploration of the form of ownership and economic development after China's reform and opening up,but also has many problems,which was stalled for twelve years.After the practice of the employee stock ownership system practice summary and the positive results,the party's the third Plenary Session of the 18 th CPC Central Committee plenary session of the decision form,proposed the implementation of the employee stock ownership system in mixed ownership enterprise implementation,which again stood in the reform of state-owned enterprises in the teeth of the storm.In the new era,under the new situation,it is imperative to reform the employee stock ownership system of state-owned enterprises in accordance with the socialist economic construction with Chinese characteristics.This paper based on the background,connotation and significance of employee stock ownership system,referred to the research status of the employee stock ownership system at home and abroad,adopted the methods of literature analysis,inductive analysis and so on,based on Marx's theory of ownership,Marx's theory of property rights,Corporate governance theory and human capital theory,analyzed the background,development course and present situation of employee stock ownership system in China's state-owned enterprises,and expounded the significance of carrying out employee stock ownership system in China's state-owned enterprises.This paper focused on the analysis of the major problems of employee stock ownership system in China,It is concluded that the ownership system of state-owned enterprises in China is not clear and the mechanism is not sound,and analyzed the reasons one by one.Combined with the reality of the construction of socialist market economy with Chinese characteristics,as well as the reform of state-owned enterprises and the need to realize the Chinese dream,This paper discussed how to promote and perfect the employee stock ownership system of state-owned enterprises with Chinese characteristics from the aspects of perfecting the relevant laws and regulations of employee stock ownership system,establishing and perfecting the modern enterprise system,supervision system and supporting system of state-owned enterprises.
