Mergers and acquisitions is the product of the development of market economy,with the development of our economy and the development of economic globalization,cross-border m&a boarded the stage of history and has been developing rapidly in our country.Relative abroad more than one hundred years history of mergers and acquisitions,mergers and acquisitions of only more than 20 years in China,Although long time no abroad,but China as a big developing country,development speed and scale to be reckoned with.Merger and acquisition success not only depends on whether the negotiations to reach an agreement,the most important thing are the merger integration process in a timely and effective.The most cause of the failure of the merger and acquisition is the merger integration is not successful.Financial integration as the core content of M&A integration,have a crucial impact on enterprise after M&A.M&A failure rate,however,have to cause the attention of people,on the basis of summarizing predecessors’ research,this article also puts forward some questions about after the merger integration and solutions,strive to be able to integration after enterprise M&A provide theoretical support and practical guidance.This article mainly uses literature research,case analysis,and research it from theory to practice.this paper mainly studies the mobile phone market mergers and acquisitions,and Lenovo acquisition of MOTOROLA’s mobile this case,explores our country the problems in the overseas mergers and acquisitions motivation and M&A integration,and puts forward the solution.Paper first discusses the concept and theory of M&A and integration,briefly introduces the Lenovo acquisition of MOTOROLA mobility this case,at the same time analyses the M&A motivation.According to the above analysis and merger integration in the enterprise merger and acquisition is a key of success for mergers and acquisitions,mergers and acquisitions enterprise needs to carry on a series of measures will be mergers and acquisitions integration,in order to better to complete the merger and acquisition work.
