To promote the development of the economy,our country put forward the reform of state-owned enterprises in 1978,the purpose is to fully arouse the enthusiasm of employees,solve the problem of inefficient state-owned enterprises,create more and better benefits for the enterprise.But the separation of investors and managers in state-owned enterprises,especially state-owned enterprises sponsor status particularity,make some problems appeared in the process of state-owned enterprises operating: state-owned enterprises management incentives of a single,lack of long-term incentive,talent constantly loss,low operational efficiency of state-owned assets.How to solve these problems,give play to the role of talents in state-owned enterprises,make them actively trying to participate in the enterprise management operations,to create greater wealth for enterprises,become the state-owned enterprises reform and the consummation modern enterprise system in the key factor for important and urgent.And solve the contradictions of the principal-agent,arouse the enthusiasm of the employees are an important method,is introduced in the corporate governance equity incentive,combine the key talent and enterprise itself into a community of interests and career,enabling them to participate in the meeting with host to the enterprise profit sharing and risk-sharing.Company incentive system and the effect of the existing research is presented in this paper,on the basis of the first to incentives and generalizes the related literature about the equity incentive,and the associated with this article expatiates on some concept and theory of incentives,and analyzes the listed companies and unlisted companies differs from that of the implementation of equity incentive,noted that the non-listed companies need to be the cause of the implementation of equity incentive;Second,in the T company through analyzing the present state of incentive and incentive environment,points out the problems that T company current incentive system,it is concluded that the necessity of the implementation of equity incentive in T company;Again,this paper use field investigation method to T company first to check the current incentive system,the key core of the enterprise management and technical personnel salary satisfaction interviews,business data,analysis of the current incentive effect of incentive system.Then USES the literature methodology,will have to learn the company incentive theory and excellent case analysis,applied to design a suitable incentive scheme for T company.Through the study found that the T company in motivating incentives of a single,is harsh and inappropriate.The company paid a larger compensation costs,but due to the compulsory distribution,give employees a resistance.This resistance makes the company performance evaluation not only didn't have very good incentive effect,but cause employees to strike,\ "1.26\" brings to the economic interests of the company's reputation and great losses.In this paper,based on the analysis of T company current incentive system,and points out the problems that T company current incentive system,and the data justify that the failure of the incentive system,at the same time on the nature of T company,industry and the development prospects,designed a set of equity incentive plan for T company,enhance the competitiveness of T company pay market,attract the talent,motivate the company existing staff at the same time,stimulate staff's work enthusiasm and initiative,so that they can to the spirit of the master into the company's operating,contribute to the company's long-term development.
