Study On Risk Management Of Overseas M&A Loan Business Of Commercial Banks

In recent years,our country economy enters the new normal,as the interest rate marketization degree deepening,the rapid development of Internet financial,commercial Banks' interest margin narrowed,facing the challenge to income,to adjust the business structure.The investment banking business is the breakthrough point in the bank transformation process,and the m&a loan business has been growing increasingly mature since the CBRC issued the guidance on the risk management of m&a loan of commercial Banks in 2008.As a high-risk and high-yielding business,the complexity and high risk of m&a loans require commercial Banks to carry out systematic risk management in carrying out their business.This paper choose the most complex of the m&a loan to study overseas m&a loan,because of Chinese enterprises' overseas m&a in 2016 both in number and transaction amount showed on explosive growth,in overseas mergers and acquisitions of various financing,bank m&a loan is still one of the main sources of funding;Because overseas m&a loan business involved in the risk of a more comprehensive,the deal structure is more complex,the risk management of overseas m&a loan business sorted out for various types of m&a loan business,has universal applicability.Adopt the way of case analysis,this paper chose the bohai's acquisition of Avolon,bank of China group syndicated lending for m&a cases,from the perspective of commercial bank,draw lessons from the existing risk management concept,in accordance with the risk identification,risk assessment,risk control logic,the introduction of modern KMV credit risk assessment model and cash flow forecast model for integrated assessment of the m&a project risk,trying to build up a complete overseas m&a loan risk management system,for offshore m&a loan business.
