With the rapid development of global economic integration,the technology of information and internet,the world economy has entered the knowledgeable and economic era.The development of high and new technological enterprises,especially the high-tech companies,which has being increased rapidly.It's not the same between china and developed countries,due to the weak developping capital market and the prohibition of dual ownership structure of high-tech enterprises,which results in a slower development of equity incentive program in China's high-tech enterprises.Besides,thinks to the poor protection of investors and property rights,it's difficult to reach the expected goal that equity implementation made.Since 2006,equity incentive has been a hot and difficult research topic in China's capital market,and related research has been enough.However,there are still some unanswered or inconsistent conclusions behind.Especially.There are still debated and inconsistent think that the content formulation of equity incentive plan,the trade-off and selection of incentive objects,the promulgation and implementation of the implementation plan and the dynamic change process with the different stages of enterprises development.As a typical high-tech enterprise,the company's equity incentive plan affects the survival,development and growth of the enterprise.This paper mainly adopts the method of case study to analyze the specific content of the implementation plan and its implementation effect by reviewing the equity incentive plan implemented since the establishment of the company.The paper found that the equity incentive plan of the company has not played its positive effect,and the incentive effect is not ideal.Further study reveal that there is a relatively single way of equity incentive system and the limited equity incentive object,which only for core technical personnel and senior management personnel.Besides,there also are random equity grant,irrational price formulation,unscientific Set price and so on.Based on the above analysis,the paper finally put forward some recommendation based on the implement way,objects selection,the number or ratio,vesting conditions and price drawn of equity incentives,which may in return optimize and improve the company's guaranteed equity incentive system.In the end,what find above not only further optimized the encouragement scheme of the stock option in this paper,which but also provides the suggestion solution and experience reference of the company's equity incentive system who being to a group of high-tech enterprises(including listed or unlisted).
