With the increasingly competitive market pressure,the increasing dispersion of corporate stock rights and the increasingly complex management technology are constantly highlighted.In order to seek better and longer-term development,companies find equity based on the experience of foreign companies.The incentive mechanism can maximize the enthusiasm of managers and achieve a win-win situation between shareholders' rights and managers' own interests.They have all launched equity incentive mechanisms.Since the beginning of the 21 st century,the competition in the new retail industry has grown with the development of e-commerce.Under such a market background,Suning Cloud has solved the problem of employee turnover,capital continuation and other issues that it has faced in pursuit of the enterprise.For a long-term development,four consecutive equity incentive plans were launched after the listing.However,the first equity incentive plan failed to pass the regulatory approval because of its own reasons.The second equity incentive plan was affected by the economic crisis,and the stock market was turbulent.Under the circumstances that the external conditions were greatly affected,the exercise price of the equity incentive plan formulated by Suning Yunye was much higher than the stock price,making this equity incentive Lost the meaning of exercise.Therefore,this article mainly analyzes the last two equity incentive plans and puts forward suggestions for improvement.This article mainly includes the contents of six parts,introduces the related theories of equity incentives,and explains the theoretical basis of the research.Taking the two equity incentives of Suning Cloud Commerce as the research content,it first introduces the company's development status,organization and equity structure and implementation.The motivation of equity incentives and the content of equity incentives are then compared with the content of the two equity incentive schemes.The advantages and problems of the two equity incentive schemes are compared and summarized,and traditional equity is proposed based on the problems of the two equity incentives.Incentive indicators introduce EVA indicators for improvement and are combined with recommendations based on the EVA indicator-based compensation incentive model.In the improvement opinions of traditional indicators,specific suggestions for improvement are provided for each indicator.Then,the optimized andimproved equity incentive plan is compared with the original two equity incentive plan contents.Finally,two equity periods are optional to verify the improved equity incentive plan and verify the improved equity incentive plan.It is more feasible than the annual original equity incentive plan.The study on the optimization design of the Suning Cloud Equity Incentive Plan not only provides a reference plan for the implementation of equity incentives for Suning Clouds in the following years,but also provides reference and support for the implementation of the equity incentive mechanism for listed companies in China,enabling other domestic listed companies.Avoid detours.
