At present,the separation of ownership and management right in Chinese enterprises has led to the agency problem between management and shareholders,which has also become a very important problem in corporate governance And Equity Incentive is one of the important methods to solve its problems.In 2006,China completed the split share structure reform,which not only helped to remove the institutional obstacles to the company's development,but also played a positive role in the implementation of China's Equity Incentive Plan With the gradual introduction and improvement of laws and regulations on equity incentive,these have provided theoretical guidance for the implementation of Equity Incentive plans by listed companies in China Equity Incentive has gradually become one of the important choices of talent incentive in Chinese enterprises.However,China's implementation of the Equity Incentive plan process is not smooth,some enterprises in the use of Equity Incentive program halfway "abortive." There are also some enterprises in the implementation of the Equity Incentive plan did not achieve the expected incentive effect.Therefore,how to combine the actual situation of the enterprise to design a complete incentive plan is worth our in-depth study.On the premise of combining human capital theory and incentive theory,this paper makes a case study,taking T company as the research object and combining the basic situation of T company.This paper points out the concrete content of the three-time equity incentive scheme implemented by T Company,analyzes the problems existing in the scheme,and then selects the financial index,market index,talent attraction and management behavior,and then selects the financial index,market index,talent attraction and management behavior.The five evaluation indexes of investment level have analyzed the implementation effect of the current stock right incentive scheme of T company from the quantitative and qualitativeaspects respectively,and finally put forward the optimization suggestion of the stock right incentive scheme in combination with the actual situation of T company.The corresponding conclusions are drawn,and the conclusion is put forward.T Company equity incentive scheme to implement safeguards.I hope that through the study of this paper,we can put forward targeted optimization suggestions to T company equity incentive scheme,make its scheme more feasible and practical,so that T company can better use equity incentive scheme to achieve medium-and long-term incentive effect.So as to promote the long-term and lasting development of the enterprise,in addition,I hope the research in this paper can play a reference role in the implementation of the equity incentive scheme for the small and medium-sized private enterprises in our country.
