Under the modern enterprise system,the equity incentive is regarded as an important way to solve the principal-agent problem,which promotes the company's core management team and shareholders to form a benefit community.With China's economy entering the "new normal",the financing guarantee companies are facing more severe challenges.Under the influence of depressed macroeconomic and fast-growing Internet financial shocks,the principal-agent problem of the financing guarantee Company is gradually highlighted,and the brain drain is not optimistic.Therefore,the financing guarantee company must construct the lasting effective incentive and restraint mechanism to the core management team by building the more accurate and effective stock incentive system,which establishes the solid foundation for the promotion of company's transformation.In this paper,I select A Credit Guarantee Co.,Ltd.as the research object.Firstly,contraposing the characteristics of financing guarantee business,I make a contrastive analysis of the first and the second phase of the company's equity incentive scheme.Then,according to the actual development of the company,we evaluates the effect of equity incentive from three aspects and summarize the pros and cons in the prior two period of equity incentive scheme.Finally,on the basis of the lessons learned from the prior programmes and the strategic adjustment made by the company in response to market changes,I try to design the third-phase equity incentive scheme which is more accurate and effective.I draw a strategic map according to the company's newly established "Three strategies".Taking the responsibilities of the departments into account,I decompose the key success factors of the company from four dimensions:finance,customer,internal business process,learning and growth.I focus on the KPI of financial dimensions and give appropriate weights to calculate the index according to company's historical data and industry data.In the meantime,I try to put forward the performance index of the remaining three dimensions on the basis of company's internal-management and industry condition.Furthermore,in order to promote the effect of the third period equity incentive scheme,the necessary saf-eguard measures are put forward combined with the present situation of company management.
