At present,the We-Media industry,as an emerging media form which is participated by all people and closely associated with the network technology,has gradually played an important role in the mass media along with its rapid development.The enormous market demand for We-Media and profit-driven capital have decided that it will be an important trend for the capital to cooperate with We-Media.In the future,there will be more We-Media merger and acquisition cases,among which such non-standardized status in quo as high premium has proposed new requirements for the corresponding standardized system.In recent years,the capital has been trying to enter the We-Media industry.However,as the content producer with large scale,the premium problem in We-Media has violated relevant regulations so that some merger and acquisition cases concerning the We-Media companies have been stopped due to the high amount of money and great risk involved.The regulation problem on the We-Media has become a bottleneck hindering the We-Media industry to introduce investment and achieve further development.At the same time,under the background that the "Net Safety Action" plan has been upgraded,disputes like whether some links in the We-Media acquisition process accord with the compliance have increased,demanding the laws and regulations concerning We-Media acquisition to be improved.While in the We-Media regulations,laws cannot exist without ethics for they complement each other,especially at presentwhen the related laws have not been perfected,ethic persuasion appears more indispensable.Based on such situation,this study tries to use knowledge related to journalism and communication,economics,laws,ethics and management and base on existing literature at home and abroad to analyze several typical cases emerged in recent years in order to discuss the features,reasons and problems of laws and regulations deficiency and social ethics in the We-Media acquisition reflected in cases that the listed companies bought We-Media with high prices.Three cases that will be discussed in this paper include the acquisition of Shenzhen Tongdao Uncle Company by Meisheng Culture company,Shenzhen Quantum Cloud company is planned to be purchased by Huge Leaf Group and Suzhou Mengjia company is planned to be bought by Leo Group.To be specific,this paper will firstly use the document analysis method to analyze the results of studies on We-Media laws and ethics problems at home and abroad,and then find out problems existed now by analyzing laws and ethics problems in the current We-Media acquisitions.At the end,this paper will put forward some effective suggestions on how to improve regulations about We-Media acquisitions.It is found that the acquisitions of We-Media by listed companies with high prices have the tendency of high risks after making researches.Laws and regulation deficiency in acquisitions of We-Media has caused some social chaotic phenomena that have impeded the specific transaction process.Compare to laws and regulations in the existing acquisitions by listed companies and traditional media management regulations,acquisitions of We-Media also exist social ethical problems related to fairness and justice,spirit of contract and economic morals.Such cases also reflect changes in business ethics and entrepreneurship ethics as well as the improvements in medium management mechanism and business management mechanism.
