Negative Media Reports And Corporate Governance Research

In January 2014,Xintai Electric was listed on the basis of fraudulent issuance.During the period before and after its listing,many media reported a lot on its financial fraud.This thesis selects Xintai Electric's financial fraud incident as the object of case study.Taking Xintai Electric's financial fraud as the starting point to research whether the report of media played the role of corporate governance effect,and under what path the media work and what kind of governing effect the media will achieve.Then propose improvements in the shortcomings of the universal system embodied in this case.The research ideas in this thesis are as follows:Firstly,using the method of literature induction to sort out the existing research and related theories of corporate governance of media reports,summing up the theoretical basis of the research.Secondly,using the method of the case study to take Xintai Electric financial fraud incident as the case study object.Analyzing its fraudulent means and counterfeiting motives to explore the practical needs of media reports on the supervision and management of listed companies.Finally,through the analysis and research of medias' role,path,the goals they achieved in the Xintai Electric fraud incident to proposes improvement suggestions for existing market and institutional defects,and provides a good reference for the supervision and governance of listed companies in the future.The research findings of this thesis are as follows:(1)Most of the listed companies in China have serious governance problems.The management of the company can easily implement illegal and illegal operations by means of existing governance defects.As a part of the external supervision mechanism,media reports effectively exert their supervisory functions.(2)When the media plays a role of corporate governance,it is involved in multiple roles such as information disclosure,social supervisors,and opinion leaders,effectively improving the role of the media and playing an important role in improving corporate governance.(3)The media's role in corporate governance is achieved through multiple channels such as reputation mechanism,market mechanism and legal mechanism.The effective improvement of various mechanisms is of great significance for improving the corporate governance role of media reports.The main innovations of this thesis are as follows:(1)Analysis of the role of media reporting governance based on financial fraud cases,actively exerting the media's supervisory role on the negative reports of corporate financial fraud,and helping to reduce corporate misconduct in the capital market.(2)By using case analysis methods,analyzing the media reports on the governance of listed companies,especially the listed companies such as "Xintai Electric",can make up for the existing literature research gap based on the large-scale empirical analysis of media company governance effects,which can provide experience and inspiration for relevant research.
