Under the new enterprise system situation,more and more enterprise choose ESOPs as a long-term incentive.ESOPs,as a new incentive—binding mode,has the advantages in releasing enterprise vitality,improving company's governance structure,improving the capital status,reducing agent costs and enhancing management efficiency,help the company of reaching the final goal of promoting value and economic benefit.Since reform and opening-up,the state-owned enterprise reforming is always an important part of national policies.As a subordinate unit of a large state-owned enterprise,H company has just completed restructuring in 2016 and has successfully backdoor listed in the A share market.How to attract and retain key staffs,encourage staffs,promote initiative and innovativeness have become the problems that H company's management must face to,which are also the problem to be solved by a number of managers.This paper takes H company as a research object,strives to design the employee stock ownership plan of the company through research,and has certain reference significance for the majority of companies which have employee stock ownership plans intention.Through literature researching,this paper systematically reviews the production and development of ESOPs,the production and practice of related theories.And then compare with original stock option incentive ways,summarize positive and negative effects of ESOPs on the company.Subsequently,combine with H company's own situation,design its employee stock ownership plan,including the factors of stock holders,capital resource,stock resource,stock size,etc.Suggestions are put forward for the possible problems in the employee stock ownership plan.Moreover,in the process of implementation,the guarantees of the management system of human resources and enterprise culture are necessary.Finally,it discusses the difficulties and shortcomings of H company's ESOP,and looks forward to the future of the development of ESOPs in China.
