In the past few years,more and more Chinese companies have adopted cross-border M&As as their channel for transformation and internationalization.Chinese companies have launched a wave of overseas mergers and acquisitions after 2016.The transaction amount is close to 200 billion US dollars,which is more than double the amount announced in 2015.In 2017,about two-thirds of M&A activity took place overseas,while North America and Europe became the most popular overseas investment areas.As a typical labor-intensive enterprise,home appliance enterprises are gradually facing the transformation pressure with the improvement of China's economic level in recent years.In 2017,m Group,as a leading enterprise in China's home appliance industry,gradually transformed into a technology-intensive enterprise through the acquisition of k companies in Europe.However,there are still many problems behind this cross-border merger and acquisition.The post-merger integration stage is not as effective as expected due to various “resistance integration” phenomena of the original company.Therefore,starting from the above background,this paper focuses on the integration of Chinese household electrical appliance enterprises after cross-border mergers and acquisitions.This paper uses case study method to analyze the whole process of M Group's acquisition of K company,and integrates the integration after cross-border merger and acquisition into the analysis perspective.The PEST model was used to study the external environment of the m group and the k group,and the reasons for the merger of the m group and the k group were analyzed.That is,M company is to improve its industrial chain,reduce intellectual property risks,and reduce labor costs.Acquisition of the company.Secondly,it analyzes the problems existing in the process of m Group's integration of k-strategy integration,organizational integration,cultural integration and human resource integration.The analysis shows that in the process of integrating k group,m company faces the problem of product structure adjustment,the rebellion of the original organization of k company,the loss of corporate ownership of core employees,and the obstacles of cross-cultural communication.At the same time,this paper also gives a one-to-one solution to the problems existing in the process of m company integrating k company.Finally,the paper summarizes this article and hopes to give some experience to the m group and other domestic companies with overseas M&A intentions.
