With the rapid development of the international coal industry,the international coal industry giants continue to improve their ability to use global resources,further strengthen the concentration of industry and market,the layout of the world,and strengthen the development of capital diversification.In this context,Chinese coal enterprises in China to accelerate the development of domestic coal resources,the implementation of enterprise merger and reorganization,but also actively go out of the country to expand overseas business,the implementation of the enterprise international operation.YM is a large state-owned coal enterprise in China.It is also the first four listed coal enterprise in China.In the field of coal mining,leading technology and abundant funds,and actively carry out overseas business expansion.Australia has rich coal resources,coal mining and export are the top in the world.However,many local coal enterprises in Australia are faced with the difficulties caused by the decline of the world coal price and so on.Facing such a potential market,YM company actively participates in the merger and acquisition of the Australian coal industry by actively exploiting its own advantages,and enlarging its discourse power in the Australian coal industry.On the basis of introducing the background of overseas merger and acquisition of Chinese enterprises,especially energy enterprises,this paper systematically analyzes and combs the theories of overseas mergers and acquisitions of enterprises overseas and the theoretical dynamics of current academic research in our country.Through these studies,it accurately grasps the risks and needs of Chinese enterprises in overseas mergers and acquisitions.The countermeasures should be taken,then the external environment of YM company in Australia is analyzed,and the PEST model is used to analyze the macro environment of YM group,and the industry competition environment of YM group in Australia is analyzed by the five force model.Then,the resources and energy of YM group are studied.On the basis of the SWOT strategic model,this paper analyzes the strategy of YM group in merger and acquisition,advocates the adoption of positive growth strategy,and concludes the risk factors in Australia merger and acquisition before YM group and the performance analysis,and summarizes the YM group.In the end,we put forward some feasible measures to solve the existing problems.It is mainly to build up a perfect system of scientific and technological innovation,talent development and management system,investment and financing system,risk management and control system and so on.Through these studies,we hope that the current overseas merger and acquisition,especially coal resources in China,are expected.M & A provides valuable reference.
