Nowadays,the market environment is unpredictable,and every day is changing rapidly.If enterprises want to progress and develop in the market for a long time,they need to constantly expand their territories,and this goal can be achieved through mergers and acquisitions and restructuring.Mergers and acquisitions can help companies develop new areas and have new business segments,but not every group of mergers and acquisitions is a perfect ending and good development,which makes the company even more powerful.There are also many cases of merger and acquisition failures that make a company that has a good income completely.Collapse,performance commitment is a possible part of M&A and reorganization,which can help companies reduce M&A risks and maximize the advantages of M&A.The performance commitment agreement was first introduced into China from abroad,and is now widely used in China,but it is difficult to achieve the performance commitment when it is signed.This article selects the case of Bairun's merger and acquisition of Bacchus Wines.At the beginning,it describes the background and significance of the research.Then it reviews the domestic and foreign literature,defines the related concepts and theoretical foundations,and then details the case Introduced and analyzed the consequences and causes of the performance of Bairun's acquisition of Bacchus' performance commitments.It is found that the reasons that affect its performance commitments can be divided into defects in development strategy,internal and external problems of the target company,changes in the macro environment,and unreasonable performance commitment plans,and then analyzes the consequences of failure to fulfill the commitments.Finally,it puts forward company and policy-level suggestions and conclusions on the use of performance commitments by listed companies in M&A and restructuring,and provides reference value for future research.
