In the late 1880 s,equity incentives were widely used in western developed countries and achieved good results.Compared with this,the theory and application of equity incentives in China are slightly behind.In 2005,the China Securities Regulatory Commission officially issued a policy document on equity incentives.The private enterprise has set off a wave of equity incentives,and in practice it proves that equity incentives can not only solve the principal-agent problem in the enterprise,but also all aspects of the enterprise.Produce positive benefits.This paper takes principal-agent theory and human capital theory as the theoretical basis,and Supor enterprises as a typical case to analyze the design of equity incentive schemes for private enterprises in China.This paper analyzes the background of the implementation of Supor's equity incentive,the motivation of the scheme design and the content of the three equity incentive schemes,and compares the design of the three equity incentive schemes to evaluate the effectiveness of the company's three equity incentive schemes.First of all,this paper sorts out the theoretical basis and related literature of equity incentives,briefly introduces the development of Supor Company,and analyzes the background and motivation of Supor's implementation of equity incentives.Secondly,this paper sorts out the process of Supor's three-equity incentives and the content and completion of the equity incentive plan,and compares the incentive objects,the number of incentives,the change of contract mode,the change of exercise conditions and the unlocking conditions of the three-equity incentive plan design.Finally,the author evaluates the effectiveness of the company's business performance,investment situation,employee structure and scientific research status,and draws inspiration suggestions,which provides reference for the company and the private enterprises in the same industry to design the equity incentive plan.This paper draws the main conclusions from the research: equity incentive is an important management tool in corporate governance;equity incentives have a positive effect on all aspects of the company's development;equity incentives under the control of foreign-invested enterprises are biased toward incentives and designed More reasonable.The research in this paper has certain theoretical and practical significance for improving the level of corporate governance and the improvement of the design of equity incentive contracts.
