With previous companies"who who owns,governance"mode is different.in the modern enterprise corporate governance system,with all of the ownership of the company or enterprise’s actual have operations,shareholders,and senior management personnel is not necessarily the same few,separation of ownership and management of the company has produced.Under this model,companies can appoint more capable and suitable people to run their operations.However,this method is not only beneficial,But also harmful.In the daily operation of the company,the interests of operators and stakeholders are inconsistent.In order to solve this problem,equity incentive was born after the study of principal-agent theory,contract theory and human capital theory.The application of equity incentive to the corporate governance of modern enterprises can serve as an incentive mechanism to effectively solve the inconsistency between the interests of enterprise owners and managers.Equity incentive has become the core content of the modern corporate governance system.However,many other companies are not familiar with equity incentive and do not know whether to adopt equity incentive in their own corporate governance system.Therefore,this paper selects SL company as an example of equity incentive research,showing the specific implementation process of equity incentive,which provides a certain reference and reference for other similar companies in the future development of equity incentive.This paper studies and analyzes the current situation of the equity incentive mechanism of SL companies based on the advanced theories of experts and scholars at home and abroad.It finds that the equity incentive mechanism of SL companies has problems such as external environment to be improved,internal structure to be disordered,imperfect market,unclear understanding of the role of equity incentive and imperfect performance evaluation system.Then,the causes of these problems were found out according to the problems,including the immaturity of the stock market,the immaturity of the professional manager market,and the need for further improvement of national policies and regulations.There are also internal reasons such as imperfect incentive scheme design,imperfect performance evaluation indicators,imperfect corporate governance structure,imperfect operator restraint mechanism and lack of effective internal supervision mechanism.After knowing the cause of the problem,I put forward the improvement countermeasures of SL company’s equity incentive by using the existing equity incentive party and the theoretical knowledge of the aspect.These measures include perfecting policy and legal environment,strengthening capital market construction,perfecting stock market and cultivating manager market.It also puts forward such internal measures as perfecting corporate governance structure,establishing internal control system,linking equity incentive with salary,establishing assessment and restraint supervision mechanism.
