Equity incentive is a way of long-term incentive to its directors,senior executives,core employees and other personnel.The original intention of the design is to solve the problem of principal-agent between shareholders and management in the context of the separation of ownership and control of the company.As a way of incentives,equity incentive is being widely used by Internet companies to attract and retain high-end talent.Firstly,this paper introduces equity incentive model,program elements and the theoretical basis,and reviews the relevant literature about motivation,implementation effect and influencing factors of equity incentive.Then,through integrating theory into reality,using case analysis the motivation,implementation effect and influencing factors of Kunlun equity incentive for example.Specifically include:First,introduces the basic situation,implementation motivation and implementation process of Kunlun equity incentive;Second,combined with the specific financial data,analysis of the effect of Kunlun equity incentive from the angle of profitability,growth ability,operating ability,solvency,brain drain and abandonment of subscription equity;Third,from the aspects of program elements and corporate governance structure depth analysis of influencing factors why Kunlun equity incentive effect is not obvious.This paper has timeliness in sample selection.The results of the study can provide reference for the design of scientific and reasonable equity incentive plan for other Internet listed companies,and have some reference significance for perfecting the equity incentive system in our country.
