Research On The Failure Of H Company’s Asset Reorganization

Asset reorganization is an important means for company to expand scale,change operation status and realize the strategic development plan.The reorganization of listed companies generally refers to changes in the legal structure or economic structure of the company in addition to the daily business activities,including asset restructuring and debt restructuring.Today,with the constant development of market economy,market competition is increasingly fierce,the assets reorganization also gradually frequently active in the capital market.The assets reorganization play an important role in how to revitalize the assets,optimize the allocation of resources,improve the enterprise management structure,improve the company’s assets management performance,etc.Taking H Company as an example,this paper discusses from six parts.The first chapter is the introduction,introduces the background and significance of this research,summarizes the relevant literature on assets reorganization at home and abroad,points out the research ideas and methods,and finds out the innovation and shortcomings of the article.The second chapter is the concept definition and theoretical basis,and summarizes the important theory of asset reorganization.The third chapter is the background analysis of the assets reorganization of H Company,and analyzes the macro industry background and enterprise status quo.The fourth chapter is the analysis of the assets reorganization of H Company,analyzing the assets reorganization of H Company from three aspects:motivation,process and result.The motivation of H Company’s asset reorganization mainly includes improving the quality of its own assets,lowering the barriers to entering the new industry,the strategic reorganization of state-owned enterprises and the adjustment of industrial structure.H company asset restructuring ended in failure,the cause of the failure are restructuring targets selection problem,great changes have taken place macroeconomic policy core terms and restructuring the parties will not come to an agreement.The fifth chapter is the empirical revelation of H Company’s asset reorganization,which provides some references for the future success of the company.The sixth chapter concludes the conclusion and prospects the future of the research.In this paper,through the study of the research and analysis of H company assets reorganization,the assets reorganization theory combined with a specific case,enriched the assets reorganization research samples,at the same time this paper H company asset restructuring failure reasons were analyzed,and for public companies and other types of assets restructuring to provide some suggestions and enlightenment.
