Research On The Risk Of Mergers And Acquisitions Of Shipping Enterprises

In recent years,the world's shipping market has been relatively depressed.Due to insufficient demand but large-scale ship capacity,the market freight rate was low.Shipping enterprises have been under great pressure and suffered serious losses.In the face of such difficulties,merger and reorganization have become a big trend in the international shipping market.But there are risks associated with merger and reorganization.The risk is not only influenced by the world economic and trade,national politics and the natural factors,but also closely related with the cyclical fluctuation in the international shipping market and world economy.Shipping enterprise M&A risk has extremely complex causes.It can be divided into early stage of risk,medium-term risk and risk of late.Therefore,based on the current status of the development of shipping enterprises,this article uses literature analysis,industry analysis,and the method of combining the case analysis,to study and analyze the shipping risk and related problems in enterprise mergers and acquisitions.First Outlines the theory of mergers and acquisitions,including the concept and classification of mergers and acquisitions,mergers and acquisitions mergers and acquisitions risk concept and the classification,and merger and acquisition concept and classification of financial risk and the analysis of the financial risk of m&a is discussed;Secondly introduces the basic theory of mergers and acquisitions of financial risk,shipping enterprises of our country development present situation and mergers and acquisitions,as well as the characteristics of shipping enterprises mergers and acquisitions in China and motivation is analyzed,mainly including before mergers and acquisitions,mergers and acquisitions,mergers and acquisitions after risk;Finally,Cosco and China shipping group restructuring case to analysis in the process of m&a market risk,integration risk,financial risk,and puts forward the shipping enterprise merger and acquisition risk prevention countermeasures,for shipping companies to provide reference of mergers and acquisitions in the future.
