Due to China's sustained economic development and opening-up national policy,there have been more and more Chinese enterprises to go abroad,and step into the international market through mergers and acquisitions("M&A").However,behind the dramatic growth,there are many cases of failure.Some enterprises do not prevent and control risks timely and effectively,and ultimately suffered a failure of M&A and a huge loss.Therefore,the identification,evaluation and control of overseas M&A risks seem to have become the key problem that chinese enterprises must solve.As China's packaging and testing industry corporate champion,Jiangsu Changjiang Electronics Technology Co.,Ltd("JCET")has occupied a place in the global packaging and testing market,but lag behind the first-class international rivals in technology.It is an important opportunity for JCET to merge STATS ChipPAC LTD.,which can help JCET enhance the scale,expand the market,upgrade technology.Because of the complicated environment of overseas M&A,JCET are facing various risks in the process of merger and acquisition.Based on the M&A status quo of JCET,combined with the domestic and foreign research,the paper takes qualitative analysis and quantitative analysis towards the decision risk in the planning stage,the price risk,financing risk and legal risk in the negotiation and implementation stage,the strategic integration risk,financial integration risk,operational integration risk,human resource integration risk and cultural integration risk in the integration stage.According to the problems that decision-making process is imperfect,the transaction pricing lack of support,financing plan is deficient in consideration,staffing is not in place,the construction of overseas mergers and acquisitions internal control system should be improved,put forward measures and proposals combined with the enterprise internal control.Based on the current situation of M&A risk management,this paper discusses the risk control strategy from the M&A process,captures the control elements of each stage,and designs the internal control flow chart of each stage,so as to improve the risk management level of M&A.The article aims to not only solve problems in the case,but also provide a reference for other companies facing similar problems.
