With the development of economic globalization,transnational investment has become an important way for the enterprise international competitive.For the American companies who want to invest in China,can break the legal constraints and gain legitimacy is closely related to the success or failure of the enterprises.This means if American companies want to develop our country's domestic market and develop in China,it can not only pay attention to performance,they need follow the organizational legitimacy,because only to obtain the legitimacy,they can obtain the approval of government,the public and other stakeholders,achieve great development in China.To review and summarize the literature,the theory for transnational enterprises in China how to obtain the legitimacy has theoretical gap.For this reason,we choose the multi-cases study method to analyze in the transition economy that American companies in China face system constraints,and the breakthrough legitimacy strategies adopted by the system constraints.This study through content analysis and analysis three typical cases of American enterprises in China.Through the information processing,when they faced the legitimacy constraint,the corresponding legitimacy of the adaptive strategy,the maneuvering strategy and the creative strategy was found.Research shows that in China's economic transition,the three case companies mainly face regulation,norm and cognitive institutional constraints.These three institutional constraints forced three cases enterprise with strong demand of the legitimacy.So we through the analysis of legitimacy strategies for American companies in China,provide a reference for Chinese enterprises "going out",by reference the United States in China to obtain the legitimacy of the strategy,promote our country enterprise's ability to acquire legitimacy,better promote Chinese enterprises to develop international market and improve the international competitiveness of the enterprise.
