In recent years,With the putting forward of the concept of "One Belt and One Road" and "Silk Road",Not only the number but also scale of China's company participation in overseas M&A are continuous increasing.Especially in the field of Internet,M&A has become an important way for companies to expand their business.But often,there are many risks accompany with the mergers and acquisitions.Although more and more company have joined the lines of M&A,But there are only a few companies succeed in acquiring and reach the M&A goal.This paper firstly combs the current research situation at home and abroad,and summarizes the related research literature on enterprise M&A and financial risk.And based on the case of DiDi's merger and acquisition of Uber China,According to the categories and causes analyzed the causes of financial risks.By introducing the evaluation indexes of the financial risk in the process of M&A are quantitatively analyzed by establishing the data model.Finally,according to the results of the evaluation,Put forward the control and precautionary measures of financial risk ensure the successful completion of the M&A.From the research results of this paper,we can see that in the process of DiDi's merger and acquisition of Uber China,financial risks are the main risks that DiDi faces.It mainly includes:pricing risk,integration risk,financing risk and payment risk.Among many types of financial risk,pricing risk and integration risk are the main risks faced by DiDi.risks on financing and payment are relatively low.The whole M&A is in a controllable state.In-depth study of financial risk assessment and prevention of mergers and acquisitions.Improving the success rate of mergers and acquisitions which provides a feasible scheme and practical experience for the merger and acquisition of Chinese online ride-hailing enterprises.
