Research On Problems And Countermeasures In The Operation Of The Independent Board System Of Listed Companies In Jiangxi Province

Independent director system has been invoked by company laws in a lot of countries as an important measure of improving governance structure of corporate governance in capital market since 1970 s.In the connection between our securities market and international rules,the introduction of independent director system has become a hot topic naturally discussed by economics and jurisprudence.As the embellishment of international standards,independent director system has its reasonable existence space.This paper starts from the direction of corporate practical governance,takes the practice aspect of role of independent director system in listed company governance as starting point under the current situation of Jiangxi,adopts comparative analysis,theoretical analysis and empirical analysis methods to analyze the existing shortages and defects in legislation in the localization practice of independent director system in the development of listed companies in Jiangxi.It strives to start from the structure of independent director system,improve the operation mechanism of independent director system in listed companies from development to withdrawal,repair defects of related legislation contents,set up and improve laws and regulation system supporting independent director system and improve independence and constraint mechanism and incentive mechanism corresponding to directors' rights and obligations.This article consists of five chapters.The first chapter is introduction;the second chapter is theoretical basis of independent director system;the third chapter is analysis of current situation of independent director system in Jiangxi;the fourth chapter is the countermeasures and suggestions for improving independent director system in listed companies in Jiangxi;the fifth chapter is conclusion and expectation.Following problems have been found in the operation of independent director system in Jiangxi through empirical research.The independence of independent director is difficult to guarantee,the rights and obligations are difficult to be unified,the incentive mechanism is not perfect,there are barriers for information acquisition,laws and regulations system has defects etc.Based on this,this paper has proposed to improve operation mechanism of independent director,set up and improve right mechanism of independent director,improve incentive mechanism of independent director,control constraint mechanism of independent director strictly,perfect evaluation system for welfare director and other countermeasures and suggestions.The countermeasures and suggestions proposed in this paper can be referred for evaluating the independent director system in listed companies in Jiangxi and are with certain guidance significance for guiding the development of independent director system in listed companies in Jiangxi.
