Under the influence of the financial crisis in 2008,transnational investment in the world has entered a low ebb period,while China's foreign investment has become a major highlight of transnational investment.China's foreign investment in the is mainly concentrated on the field of resources,and now turn to service,food and other fields.However,China's overseas acquisition of food companies is not plain sailing,its overseas mergers and acquisitions is still in its infancy.In the face of complex and changeable world economic situation,Chinese enterprises need to make adequate preparations.This paper mainly studies the overseas mergers and acquisitions of food enterprises in China,mainly from the reasons for the merger and acquisition of Chinese food enterprises,mergers and acquisitions,mergers and acquisitions performance,etc.This paper studies and summarizes the characteristics of overseas mergers and acquisitions of food enterprises in China,which is hoped to be helpful to the transnational merger and acquisition of food enterprises in china.There are two methods at this paper.According to the balanced scorecard,author explores how to use the Balanced Scorecard to estimate the behavior of M & A at the end.Using Balanced Scorecard to determine the end of M & A activity,the effect of the integration of the various aspects of the new enterprise,reflects the performance of mergers and acquisitions,compared with a single financial evaluation is more comprehensive.The Balanced Scorecard evaluation system through the merger after the completion of the new inner and outer,financial and non-financial and long-term perspectives to trade integration synergies after more comprehensive evaluation of enterprise merger,help enterprises to construct the M & A performance management system more night.The Balanced Scorecard performance evaluation tool into the food industry M & A performance study,the Shuanghui international mergers and acquisitions as the research object,by constructing a balanced scorecard performance evaluation index system of international mergers and acquisitions activity between Shuanghui and Smith Field.According to the specility industries,we selects this case,the dimension of enterprise social responsibility into the BSC,building covering finance,buyer,inner procedure,study and growth and the societal duty of the several dimensions of the M & A behave index estimation system.And the writer choosed in 2013 Shuanghui international M & A case of American Smith Rumsfeld,short time from now,It's still to be good to the present enterprise;Meanwhile,we still can observe the integration after the merger integration of corporate behavior.About the case,the biggest M & A between Shuanghui and Smith;furthermore from the brand concordancy,cultural concordancy,asset concordancy,technology concordancy,human resource concordancy and strategic concordancy of the six aspects of the integration process of enterprise analysis,lay the foundation for the subsequent evaluation of behave of mergers and acquisitions;At last,the Balanced Scorecard five dimension card based on detailed analysis of the performance of merger and acquisition.According to the M & A performance evaluation based on the perspective of balanced score card,which provides a new thought for the future exploration of the M & A behavior estimate method,add the application of the BSC,and make the progress t of M & A behavior estimation system.Shortcoming and limitations of study: because of the shortcoming of the messages gathering,some indicators is designed at the paper is too easy,the lack of convincing,only provide a five dimensional evaluation model,constructs the framework of Balanced Scorecard multi-dimensional system to readers,comprehensive and in-depth index also needs further research and study.How to use the Balanced Scorecard to help the corporate to get the emulative advantage in mergers and acquisitions can have more depth study.
