As a result of the company gradually differentiation and more complex management way change,each enterprise in order to maximize the profit of the owner,combines enterprise resource and human resource effectively,all in the pursuit of the separation of ownership and managerial authority.But because of different goals,such as a great damage to the owner's equity management to gain undesirable side effects.In order to alleviate the principal-agent problems,give play to the role of effective incentive,the United States began to implement equity incentive at first,and adopted by the enterprises have been imitated by other countries.In our country,more perfect of relevant laws and regulations after the reform of non-tradable shares,the steady development of the capitalist market,provides a good macro environment for the equity incentive.In an increasingly mature market environment,the effect of equity incentive in an increasingly highlight,listed companies realize the importance and necessity of implementation of equity incentive plan.China Baoan Group Co.,Ltd.,as a representative of the signature of the listed company equity incentive research representative.In this paper,with the examples of China baoan group of equity incentive plan,study the implementation of equity incentive plan in to the enterprise financial indicators and non-financial indicators conditions of two aspects,personnel structure,and the effects of the impact of changes.This article is divided into six chapters altogether,first put forward the research background,purpose and research significance;Second review of domestic and foreign scholars about the relationship between the equity incentive on business performance and equity incentive factors,patterns,and so on research present situation and carries on the comprehensive review;Again,about the concept and theoretical basis of carried on the induction,and organize the equity incentive mode and characteristics of the currently widely used;Finally,in this article introduces the case company,discusses the background of China Baoan group implement equity incentive,equity incentive plan design and the implementation steps,the application effect of equity incentive schemes are analyzed,and comparative data found China Baoan group although equity incentive has a positive role on enterprises,but there is still a failure,indicate that the defects existing in the scheme,to improve the equity incentive for enlightenment.At present in our country,most is given priorityto with large-scale enterprises implement equity incentive plan,China baoan group as one of the typical representative,to research its equity incentive plan,has a certain practical significance.Through carries on the case analysis,we can find the implementation of equity incentive and expand the scale of enterprises,improve enterprise performance stable enterprise talents,improve the corporate governance structure plays a positive effect.This article research conclusion for our country the same type of enterprises in the implementation of equity incentive plan is design provides some experience and lessons,the implementation of equity incentive for other similar enterprise has played certain reference significance.
