The emergence of corporate governance issue began with the separation of ownershipright and control right in share-holding companies. The practices of corporategovernance in different countries have proved that efficient corporate governance is apowerful guarantee of stable and long-term development of modern enterprises;meanwhile, it can help to gain excellent operation performance and protect the rightand interest of shareholders and operators effectively. With the constant reform of ourstate enterprises, how to establish reasonable corporate governance structures andefficient mechanism is the core of the reform of our state enterprises.This thesis refers to corporate governance related theories and practices, as well asrelatively perfect corporate governance models from some developed countries; onthe basis of above reference, it gets to analyze the existing problems in corporategovernance of state enterprises, especially those from competitive fields, throughhistorical analysis method, comparative analysis method, etc, to proposecorresponding measures for internal corporate governance and external corporategovernance, especially emphasize that state enterprises should withdraw fromcompetitive fields as soon as possible.This thesis is divided into five chapters. The first chapter is introduction. The secondchapter is to sate about the theories and system of corporate governance. The thirdchapter is the reference of corporate governance models from some developedcountries. The fourth chapter is to point out the main problems of corporategovernance in state enterprises from competitive fields. The fifth chapter is to proposeimproving measures in term of corporate governance of state enterprises fromcompetitive fields.
