The Case Study Of Management Integration After M&A Of CS Company

M&A is the important way of modern enterprises to reorganize assets and redeploy resources, so that they can grow stronger and larger quickly, and improve competitiveness effectively. However, not all the corporates M&A are always successful. In contrast, there are a large number of failure cases. Many case-studies show that ignored the integration after M&A is the key reason of failures. To some degree, the integration after M&A is the make-or-break factor of M&A.This paper is a case study of management integration after M&A of CS company. CS company is a leading provider of OSS solution to telecom operators. It is a joint venture company established by China Communication Services Co., Ltd. and Accenture. It consolidated and restructured two famous companies of the domestic OSS industry then became the strongest and largest one of the domestic OSS suppliers. At the early stage of M&A, there were so many conflicts and clashes that once bring CS company to the brink of collapse. Like all the M&A companies,everyone of CS company had a big dream and good vision at the beginning of the restructuring and integration. However, in the next two years, the management of CS company appeared so many problems and contradictions, which lead to core team members' loosed, poorer quality services and dangerous market risks. CS company had to face the sustaining huge financial losses last for years.Adopting a case study research method, combining the related theory of M&A and management integration, this paper analyzed the problems and it's real reason of integration of CS company's M&A. Hope it can provide some useful references for the Chinese domestic small to medium high-tech enterprises.
