In the era of knowledge economy, knowledge is an important factor for enterprises, which has been promoted to the same level as human capital and physical capital. Therefore, more and more recognition and business practice are carried out by enterprises. In fact, the origin of intellectual capital management is acquiring knowledge, then, forming the unique enterprise intellectual capital system through internal sharing, innovation and optimization. But currently, there are many disputes about intellectual capital as How to define intellectual capital? How to build enterprise intellectual capital through effective mechanisms? For each enterprises living in these era, these problems are becoming more and more difficult to be avoided.The formation mechanism and management optimization knowledge capital of for H Group are mainly discussed in this paper, after the definitions on a clear connotation and three-dimensional structure of intellectual capital, combing the relevant research results at home and abroad. The study can be divided into four parts. The first one is the construction briefing of H Group, describing form three dimensions of intellectual capital. An intellectual capital management model is summed up at the same time based on the business. The second one is forming a theoretical model combing SECI and HSC models. And an evaluation system for quantization of three formation stages of knowledge capital is designed at the same time. Then, the effectiveness of the theoretical model for H group, and the influence paths on knowledge creation & knowledge capital & corporate performance are tested using the survey data. At last one is a summary of the problem and its causes of intellectual capital for H group, according to the test results. And three optimization proposals are put forward at the same time. There are organizational structure, the evaluation of early warning and comprehensive incentives.The following conclusions are obtained by normative and empirical analysis.Firstly, the formation mechanism of intellectual capital consists of three stages, knowledge creation, knowledge accumulation of capital and the formation of corporate performance. To quantify these three stages, the indicators of knowledge creation can be explicit at knowledge socialization, externalization, combination and internalization, which are suggested in the SECI model. The indicators of knowledge capital should be listed under the dimensions of human capital, structural capital, and customer capital to avoid items missing. The evaluation of enterprise performance may be combined financial condition with potential development.Secondly, Positive test results H group showed their knowledge to create a significant socialization, externalization, combination and internalization processes, intellectual capital has a significant human capital, structural capital, customer capital dimensional features; the more intense knowledge creation behavior, group the higher capital levels of knowledge and knowledge creation process structure Dimensions behavior significantly affect the Group's intellectual capital; intellectual capital is the main source of H Group business performance, but human capital is not in the path of a direct effect on business performance.Thirdly, Association point of view from the path, the degree of knowledge creation process exists combination of insufficient knowledge, knowledge creation behavior excessive focus on the issue of capital structure, formed due to the lack of comprehensive knowledge H Group Capital Management, multinational operations increases the difficulty of sharing knowledge combination, corporate culture for knowledge creation process imbalance boot. Corporate performance incentives for the formation of intellectual capital exists a lack of adequate human capital incentives, customer capital and structural capital linked to the lack of a path. Reason is that customer capital and structural capital for business performance independence, a strong impact on business performance and corporate culture direct driving force excitation formation.Finally, H Group's intellectual capital management system can be constructed at three aspects. The first step is the regulation of its organizational structure. Intellectual capital management center and grass-roots organizations should be established, and intellectual capital director should be engaged in detail. In order to promoting knowledge sharing, combing and internalization, a global knowledge-sharing system should be set up by Intellectual capital management center. The second step is the construction of metrics dynamic evaluation mechanism in accordance with the dimensions of knowledge creation, knowledge capital and business performance, in which easily quantifiable indicators are adapted into KPI evaluation system, and qualitative indicators are brought into corporate culture. The last step is the implication of total factor incentive system with the target of balanced development of intellectual capital. One way is knowledge sharing incentives relying on global knowledge sharing system, the other way is targeted incentives based on the path of incentives weaknesses, it performs in terms of human capital and knowledge capital network structure for H group.
