With the rapid development of our economy into the new normal,consumption has become an important driving force for economic growth.In recent years,China's cultural media enterprises have received unprecedented development opportunities in the policy context of promoting the "great development and great prosperity" of the cultural media industry in the party and the country.More and more cultural enterprises,especially the Internet emerging media,have also gained rapid development.In 2016,according to relevant industry enterprise culture media industry in China has more than 1 million,and overall assets have more than 1.5 trillion yuan.The rapid development of new media industry has brought great impact on traditional culture and media enterprises,especially the paper media enterprises,which has promoted the integration of traditional publishing and distribution enterprises to accelerate industry integration,fully integrated resources through the capital operation mode of mergers and acquisitions,and built diversified product structure,enriched the means of profit,expanded the industrial chain in depth,and achieved sustainable development and strategic transformation and upgrading.As the first listed company of China's traditional publishing media enterprises,the north joint publishing media(group)co.,LTD.(hereinafter referred to as " north publishing media")has experienced a decade's IPO since its IPO in 2007,but the traditional paper book publishing and distribution has encountered a strong impact on the Internet and cultural industry,and the gross profit rate continues to decline.As new competitors continue to join,the company's market share and industry competitiveness rankings are falling.Although in recent years,through the way of the compression cost to maintain the normal operation of the enterprise,the rapid realization of the industrial extension and transformation of the industry through mergers and acquisitions is imminent.Through the research and analysis of the acquisition and reorganization of the publishing media,this paper has important theoretical and practical significance for the realization of the company's strategic development goals and the selection of the target of acquisition and reorganization,the merger and acquisition operation and the post-merger management.Based on the theory of strategic management,this paper adopts the model of case analysis,drawing on the theories and practices related to the enterprise strategy and the merger and reorganization of cultural enterprises,and analyzes the related issues of the merger and reorganization of the publishing media,and provides theoretical and practical support for the formulation and design of the future m&a strategies of enterprises.At the same time,qualitative and quantitative research methods are used to analyze and make decisions on the merger and reorganization.Through the analysis of the situation of enterprises,fully demonstrate the development status and bottleneck of the company,and make clear that the proposed merger and reorganization is the only way to realize the transformation and upgrading of the company.At the same time,we will comb through the cases of the subindustries and mergers and acquisitions of cultural media,and formulate the standard of selecting and selecting the quality of the strategic coordination with the company,and finally formulate the plan for the acquisition and reorganization of the publishing media.This paper will discuss the above contents from the introduction,case analysis,case analysis and plan.
