The paper is based on the study of the earliest and by far the best national security review system: The American security review system for foreign merger and acquisition.The paper provides deep analysis of the legislation structure and the application of the review system.Besides,this paper compares the current security review system of America and China,and gives suggestions for the further development and perfection of Chinese national security review system.The paper can be divided into three parts.The first chapter is about the overview of the American national review system,including the construction of the rules concerning the national security review system of M&A in the United States and the application of those rules,like the review object,review standard and procedures.The second chapter makes an in-depth analysis on the character of the national security review system in the United States.This chapter lays the foundation for the third chapter,where solutions are offered to improve the national security review system in China from the experience of the United States.The third chapter introduces the current situation of China’s national security review system of foreign capital,and analyses the latest rules.Then it compares the national security review system between China and the US and draw conclusion about the similarities and differences.Finally,the paper put forward some legislative suggestions to perfect the national security review system in China.
