Diversified ownership reform of competitive state-owned enterprises involves trillion assets, which has a great impact on China's economy in the future. The primary thing is to insist on the rule of law, legislation first and then reform followed. Legal institutions have to be the foundation of reform. However, China's legal institutions on diversified ownership reform of competitive state-owned enterprises are not so mature at present. Lacking professional laws and regulations, the equal protection in rights of public and private properties is inadequate; subject provisions in diversified ownership reform are uncertainty, lacing regulations about participating in and exiting the program of mixed ownership reform; loopholes in the laws and regulations; when applying to legal responsibility, accustomed to administrative responsibility instead of civil responsibility, the provisions of civil liability is nearly nothing. To improve relative law institution of diversified ownership reform of competitive state-owned enterprises, China has to amend the unconformable part of the existing legal laws and regulations, to make specialized legal laws and regulations to guide the process of reform; enact legal procedures of reform which-can guide and legalize and ensure the success of it; strengthen supervision system, no negligence of any one link; clear lines of responsibility, make the law force the strongest guarantee of reform.
